The Turn/River Capital investment fund, based in San Francisco (California, USA), concluded a final agreement on the acquisition of the SOLARWINDS IT developer. The cost of the transaction, which is planned to be fulfilled completely at the expense of funds, is approximately $ 4.4 billion. At the end of 2020, the price of its shares has almost doubled and since then did not return to the previous values.

The American company SolarWinds is developing software for managing networks, systems and infrastructure. In 2020, she found herself in the center of a loud scandal associated with a hacking of her Orion platform. Cybercriminals during a difficult attack by Sunburst introduced the malicious code into ORION, as a result of which thousands of SolarWinds customers suffered. Among the victims were US government institutions: hackers, in particular, abducted data on American counterintelligence operations and Washington’s sanctions policy. The Ministry of Defense, the State Department, the Treasury, the Ministry of Internal Security and the US Department of Trade were affected.

Under the terms of the agreement, Turn/River Capital will pay $ 18.5 for each SolarWinds campaign. This is a bonus of about 35% of the weighted average of the securities of the acquired company for 90 trading days that ended on February 6, 2025. The transaction received unanimous approval by the board of directors of SolarWinds, as well as written approval from Thoma Bravo and Silver Lake, majority shareholders of SolarWinds, which, in the aggregate of 65% of the released voting securities.

It is planned to complete the merger in the II quarter of the current year after receiving the necessary permits by the regulatory authorities. After the transaction, SolarWinds will become a private company, and its ordinary shares will no longer be quoted on the New York Stock Exchange. The IT developer will cease to publicly disclose financial indicators. At the same time, the company will continue to work under the name SolarWinds and save the headquarters in Austin (Texas, USA).
